Lano, O'Toole & Bengtson, Ltd. has a long history of providing quality legal services in Itasca County and surrounding areas of Northern Minnesota. Two premier trial firms merged in 1974 to form the present law firm. One law firm, known as the Spellacy firm, had its origins when A.W. Spellacy began practicing law in Marble, Minnesota, in 1921. The other firm, known as the Murphy firm, began in Grand Rapids in 1935 when twin brothers J.D. (Jeremiah) and James Murphy started a law practice together.
Five former members of the constituent firms have since gone on to become Minnesota District Court Judges. Neal Lano, who joined the Spellacy firm in 1953, is the only firm member who was present at the time of the 1974 merger. He continues in an "of counsel" capacity with Lano, O'Toole & Bengtson. Dennis O'Toole, a native of North Dakota, holds a bachelor's degree in mechanical engineering and earned his law degree from the University of North Dakota.
He worked for a consulting engineering firm and for a major computer manufacturer prior to attending law school.

My wife, Nancy, has reminded me that I told her right after graduating from law school that my goal was to represent small business owners.
After working for an appellate judge for a year, I went to work for a few years in Duluth and then moved to Grand Rapids to join my present law firm.
For several years, I concentrated on civil trial work, but always made sure that I handled a fair amount of business and real estate transactions.
My trial practice gradually changed so that most of my cases involved business, construction, environmental and commercial real estate issues.

After a number of years in California, my wife, Cindy, and I decided to move back to my home state of Minnesota.
I was looking to return to a smaller city in Minnesota that would be similar to Battle Lake, my boyhood home.

Often the first thing I hear from a new business client is "I want to incorporate".
Many times that is what we end up doing.
But usually what the client really wants is to start a new business and-the instincts are good here-to minimize personal liability.
Surprisingly often, after hearing the plans for a budding business, my best advice is that need capital can be better used for something other tna paying a lawyer to set up a corporation, at least at first.
Sometimes, after talking to the client and usually with his accountant, another form of business entity such as a limited liability company is recommended.
Many times that is what we end up doing.
But usually what the client really wants is to start a new business and-the instincts are good here-to minimize personal liability.
